Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers

On April 8, 2022, R1 RCM Inc. (the “Company”) was informed that Vijay Kotte, its Executive Vice President, Strategy & Corporate Development and Chief Solutions Officer, will be leaving the Company to pursue other opportunities during the second quarter of 2022. The Company and Mr. Kotte plan to work together to ensure a smooth transition.

Mr. Kotte’s termination will be treated as a “Good Leaver Termination” (as such term is defined in the applicable Performance-Based Restricted Stock Unit Award Agreement) for purposes of the outstanding performance-based restricted stock units held by Mr. Kotte as of the date of his departure.
