The 2025 Annual Meeting of Stockholders was held on April 24, 2025 as a virtual meeting (the “Annual Meeting”). A total of 105,795,402 shares, or 81.07% of the shares eligible to vote, were present or represented by proxy at the Annual Meeting. The matters considered and voted on by the Company’s stockholders at the Annual Meeting and the vote of the stockholders were as follows:
