Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On December 20, 2023, Mr. Julian Soell notified Proterra Inc, a Delaware corporation (the “Company”), of his resignation from his position as Chief Operating Officer of the Company, effective as of March 15, 2024. In connection with Mr. Soell’s resignation, he did not express any disagreement on any matter relating to the Company’s operations, policies or practices.
