Explanation of Responses:

1. These shares represent restricted stock units ("RSUs") that will vest in three equal installments on December 31, 2026, December 31, 2027 and December 20, 2028, and will be settled into shares of Innodata Inc.'s common stock upon vesting.

2. Includes 83,179 restricted stock units ("RSUs"). 40,000 will vest in two equal installments on December 20, 2026 and December 20, 2027, and 43,179 will vest as set forth in footnote #1. The RSUs will be settled into shares of Innodata Inc.'s common stock upon vesting.
