Explanation of Responses:

1. Represents shares of common stock underlying restricted stock units ("RSUs"). Each RSU entitles its holder to receive one share of common stock of the issuer. The RSUs vest and settle in sixteen equal quarterly installments with a one-year cliff.

2. One-quarter of the options vest and first become exercisable on June 19, 2025 and the remainder of the options vest and first become exercisable in 12 equal quarterly installments commencing on September 19, 2025.
