Explanation of Responses:

1. Represents the shares required to satisfy tax withholding obligations in connection with the vesting of 17,385 restricted stock units ("RSUs").

2. 25% of the RSUs vested in full on the first anniversary of the grant date, 25% will vest on the second anniversary of the grant date and 50% will vest on the third anniversary of the grant date; provided that the Reporting Person continues to provide service to the Issuer through the vesting date. The RSUs do not have an expiration date.

3. Each restricted stock unit ("RSU") represents a contingent right to receive one share of the common stock. All unvested RSUs will automatically expire upon Reporting Person's termination of service from Issuer.
