1. Subject to Grantee's continued status as an Employee of the Company, the Restricted Stock Units ("RSUs") that shall vest with respect to one-fourth (1/4th) of the RSUs on each of July 1, 2025, January 1, 2026, July 1, 2026 and January 1, 2027, subject to acceleration in certain events.

2. Subject to Optionee's continued status as an Employee of the Company, Options shall vest and become exercisable with respect to one-fourth (1/4th) of the Shares (as defined in the Plan) subject thereto on each of July 1, 2025, January 1, 2026, July 1, 2026 and January 1, 2027, subject to acceleration in certain events.
