1. Represents shares of common stock issued to the reporting person as partial compensation for Board of Directors annual retainer fee.

2. These securities are owned by Pratt Capital I, LP, of which the Reporting Person is Manager of the General Partner. The Reporting Person disclaims beneficial ownership of these securities except to the extent of his pecuniary interest therein.

3. These securities are owned by Pratt Capital LLC, of which the Reporting Person is a Member and Manager of the Manager. The Reporting Person disclaims beneficial ownership of these securities except to the extent of his pecuniary interest therein.
