Departure of Directors of Principal Officers; Election of Directors; Appointment of Principal Officers; Compensatory Arrangements of Certain Officers

(b) On April 21, 2022, Serena J. Williams notified Poshmark, Inc. (the “Company”) that she is voluntarily resigning from the Board of Directors (the “Board”) effective as of such date but will remain on the Board until a replacement has been appointed. Ms. Williams’ resignation was not the result of any disagreement with the Company on any matters relating to the Company’s operations, policies or practices.

Ms. Williams served as an independent director of the Company and as a member of the Company’s Compensation Committee (the “Compensation Committee”). Ms. Williams will continue to serve on the Compensation Committee until a new director has been appointed to fill the vacancy created by her resignation.
