Item 5.02. Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On November 10, 2022, Erik Olsson, a member of the Board of Directors (the “Board”) of Pontem Corporation (the “Company”), notified the Board of his decision to resign as a director of the Company effective immediately. Mr. Olsson has been a member of the Board since the Company’s initial public offering (“IPO”) and was a member of the Audit Committee, the Compensation Committee, and the Nominating and Corporate Governance Committee of the Board. Mr. Olsson’s resignation was not due to any disagreement with the Company.
