Item 8.01. Other Events.

On March 25, 2025, Phoenix Motor Inc. (the “Company”) issued a press release announcing that its board of directors has authorized a share repurchase program pursuant to which the Company may repurchase up to $5 million of its outstanding shares of common stock. A copy of the press release is attached as Exhibit 99.1 to this Current Report on Form 8-K and is incorporated herein by reference.
