Explanation of Responses:

1. The Issuer awarded the Reporting Person's spouse, who is an employee of the Issuer, 13,567 time-based restricted stock units ("RSUs"), each of which represents a contingent right to receive one share of the Issuer's common stock, that will vest in three equal installments on May 20, 2025, May 20, 2026 and May 20, 2027, in each case subject to early termination and adjustment as provided in the applicable award agreement.

2. The shares of Common Stock are held by the Pei 2000 Trust, of which the reporting person is a trustee.
