Item 7.01. Regulation FD Disclosure.

On March 3, 2026, PEDEVCO Corp. (the “Company”) issued a press release disclosing that the Company’s board of directors, with the authority previously provided to the board of directors by the majority stockholders of the Company, has approved a reverse stock split of its common stock, par value $0.001 per share (“Common Stock”) in a ratio of 1-for-20 (the “Reverse Stock Split”).

A copy of the press release is furnished hereto as Exhibit 99.1, and incorporated by reference into this Item 7.01 in its entirety.

The information in this Item 7.01 of this Current Report on Form 8-K, including the information contained in Exhibit 99.1 is being furnished to the U.S. Securities and Exchange Commission, and shall not be deemed to be “filed” for the purposes of Section 18 of the Securities Exchange Act of 1934, as amended (the “Exchange Act”) or otherwise subject to the liabilities of that section, and shall not be deemed to be incorporated by reference into any filing under the Securities Act of 1933, as amended, or the Exchange Act, except as shall be expressly set forth by a specific reference in such filing.

Item 8.01. Other Events.

The Reverse Stock Split is expected to become effective at 12:01 AM ET on March 13, 2026 (the “Effective Time”). Shares of the Company’s Common Stock are expected to begin trading on a post-split, post-name change, basis on the NYSE American at the open of trading on March 13, 2026. There will be no change in the Company’s trading symbol “PED” in connection with the Reverse Stock Split, but the Company’s CUSIP number will change to 70532Y402.

No fractional shares will be issued in connection with the Reverse Stock Split. Instead, each holder of Common Stock will be entitled to receive a cash payment in lieu thereof at a price equal to the fraction of one share to which the stockholder would otherwise be entitled multiplied by the closing price per share of Common Stock on the NYSE American on the trading day immediately prior to the Effective Time.
