Item 8.01

Other Events.

On July 23, 2021, Payoneer Inc., a subsidiary of Payoneer Global Inc., completed a full redemption (the “Redemption”) of all outstanding shares of its Series 1 Senior Preferred Stock (the “Series 1 Preferred”) for an aggregate redemption price of approximately $40 million. Upon completion of the Redemption, all restrictions and other covenants imposed on Payoneer Inc. by the terms of the Series 1 Preferred were extinguished.
