Explanation of Responses:

1. Represents a grant of restricted stock units (RSUs) under the 2017 Incentive Compensation Plan. Each RSU represents a contingent right to receive one share of the Issuer's Common Stock. The RSUs vest in three equal annual installments beginning on the first anniversary of the grant date and on each anniversary date thereafter, subject to the Reporting Person's continued service as a director of the Issuer through such date.
