Explanation of Responses:

1. The Reporting Person was granted restricted stock units ("RSUs"), which represent a right to receive one share of Class A Common Stock for each RSU. The RSUs are fully vested.

2. The shares were sold to cover tax withholding obligations in connection with the vesting of RSUs. These sales are mandated by the Issuer's election under its bonus plan to require the satisfaction of tax withholding obligations to be funded by a "sell to cover" transaction and do not represent discretionary trades by the Reporting Person.

3. The price reported is a weighted average price. These shares were sold in multiple transactions at prices ranging from $11.01 to $11.79, inclusive. The Reporting Person undertakes to provide to the Issuer, any security holder of the Issuer, or the Securities and Exchange Commission, upon request, full information regarding the number of shares sold at each separate price within the ranges set forth herein.

4. The price reported is a weighted average price. These shares were sold in multiple transactions at prices ranging from $11.27 to $11.68, inclusive. The Reporting Person undertakes to provide to the Issuer, any security holder of the Issuer, or the Securities and Exchange Commission, upon request, full information regarding the number of shares sold at each separate price within the ranges set forth herein.
