Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On March 13, 2024, PagerDuty, Inc. (the “Company”) filed a Current Report on Form 8-K (the “Initial 8-K”) to report that the Board of Directors (the “Board”) of the Company had appointed Teresa Carlson to the Board, effective as of March 13, 2024.

In accordance with Securities and Exchange Commission rules, this amendment to the Initial 8-K dated March 13, 2024, is being filed to report that on April 29, 2024, the Board appointed Ms. Carlson to its Audit Committee effective April 30, 2024, having determined that Ms. Carlson satisfies all applicable requirements to serve on the Audit Committee.
