Item 7.01 Regulation FD Disclosure.

On November 15, 2022, Oshkosh Corporation (the “Company”) issued a press release announcing that the Company entered into a definitive agreement to acquire Hinowa S.p.A., a privately held company headquartered in Italy. A copy of such press release is furnished as Exhibit 99.1 and is incorporated by reference herein. The definitive agreement provides for a purchase price of Euro 186 million (approximately $192 million based on the exchange rate as of the date of this report) on a cash free, debt free basis, which is payable in cash.
