Regulation FD Disclosure.

On March 8, 2022, OppFi Inc., a Delaware corporation (the “Company”), issued a press release announcing the filing of the complaint described in Item 8.01 of this Current Report on Form 8-K. A copy of the press release is furnished as Exhibit 99.1 to this Current Report on Form 8-K and is incorporated herein by reference.

Item 8.01

Other Events.

On March 7, 2022, the Company, through Opportunity Financial, LLC, a Delaware limited liability company and subsidiary of the Company (“OppFi”), filed a complaint for declaratory and injunctive relief (the “Complaint”) against the Commissioner (in her official capacity) of the Department of Financial Protection and Innovation of the State of California (the “Defendant”) in the Superior Court of the State of California, County of Los Angeles, Central Division.

The Complaint seeks a declaration that the interest rate caps set forth in the California Financing Law, as amended by the Fair Access to Credit Act, a/k/a AB 539 (the “CFL”), do not apply to loans (“Program Loans”) that are originated by OppFi’s federally-insured state-chartered bank partners and serviced through the OppFi technology and service platform pursuant to a contractual arrangement with each such bank (the “Program”). The Complaint further seeks injunctive relief against the Defendant, preventing the Defendant from enforcing interest rate caps under the CFL against OppFi based on activities related to the Program.

OppFi believes that the Program Loans made through the OppFi platform pursuant to the Program are constitutionally and statutorily exempt from the CFL because the Program Loans are made by state-chartered banks located in Utah and that federal law permits state-chartered banks to export the interest rates allowed in their chartering state to any other state in the country. OppFi strongly believes its practices are legal as a matter of both California and federal law, and looks forward to having its position affirmed in court.
