Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers

On December 16, 2024, Esbe van Heerden tendered her resignation to the Board of Directors as Chief Financial Officer and President of Onfolio Holdings Inc. (the “Company”), effective December 31, 2024. Ms. Van Heerden’s departure was not the result of any disagreement with the Company, or any issue related to the Company’s financial statements or accounting practices. The Company’s Board of Directors has not yet appointed a new Chief Financial Officer.
