Item 5.02. Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On February 19, 2026, Judy R. McReynolds, a member of the Board of Directors (the “Board”) of OGE Energy Corp. (the “Company”), informed the Company that she will not stand for re-election at the end of her term and will retire from the Board at the upcoming annual shareholder meeting scheduled for May 14, 2026. Her retirement will be effective on that date. Ms. McReynolds’ retirement follows more than 14 years of service on the Board and various Board committees, with five years as the Lead Director. Her contributions to the Company have been significant, and we appreciate her support and service. Ms. McReynolds stated that her decision is not due to any disagreement with the Company on any matter relating to the Company’s operations, policies, or practices. We wish Ms. McReynolds continued success in the future.
