Explanation of Responses:

1. The shares of Crescent Energy Company's Class A common stock ("Common Stock") reported are restricted stock units ("RSUs") granted to the reporting person pursuant to the Crescent Energy Company 2021 Equity Incentive Plan. Each RSU represents a contingent right to receive one share of Common Stock. The RSUs will vest in substantially equal installments on each of April 1, 2026, April 1, 2027, and April 1, 2028, subject to the reporting person's continuous employment through each such date.
