Explanation of Responses:

1. The number of shares of common stock disposed of, as well as the number of shares beneficially owned, by Mr. O'Donnell take into effect the Company's 1:50 reverse stock split completed on April 3, 2023.

2. The shares of common stock disposed of by Mr. O'Donnell to the Company were originally issued under the Company's 2022 Incentive Compensation Plan.
