Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers

On January 2, 2026, Kevin T. Howell informed the Board of Directors (the “Board”) of NRG Energy, Inc. (the “Company”) of his intention to resign from the Board, effective immediately, to pursue another opportunity. His decision to resign was not the result of any disagreement with the Company, management, or the Board on any matter relating to the Company’s operations, policies or practices.
