Item 7.01. Regulation FD Disclosure.

On January 5, 2024, SHF Holdings, Inc. (the “Company”) was notified by the staff (the “Staff”) of The Nasdaq Stock Market LLC’s Listing Qualifications Department that the Staff has determined that for 10 consecutive business days, from December 20, 2023 to January 4, 2024, the minimum closing bid price for the Company’s Class A common stock was at least $1.00 per share or greater. Accordingly, the Staff has determined that the Company has regained compliance with Listing Rule 5550(a)(2) and, as such the Staff has indicated that the matter of the Company’s compliance with such rule is now closed.
