Other Events.

On December 7, 2022, NexGel, Inc. (the “Company”) issued a press release announcing a share repurchase program with authorization to purchase up to $500,000 of the Company’s common shares in the open market. A copy of the press release is attached hereto as Exhibit 99.1 and is incorporated by reference herein.
