Item 1.01. Entry into a Material Definitive Agreement.

On August 2, 2022, Newtek Business Services Corp. (“Newtek” or the “Company”) entered into an Amendment to Employment Agreement with Mr. Nicolas Young, effective as of August 2, 2022 (the “Amendment”). The Amendment extends Mr. Young’s Employment Agreement, dated as of August 2, 2021 (the “Employment Agreement”), through December 31, 2022. All other terms of the Employment Agreement are unchanged.

The foregoing description of the terms of the Amendment is qualified in its entirety by the terms of the Amendment, which will be filed as an exhibit to the Company’s next Quarterly Report on Form 10-Q, and the Employment Agreement, which was filed as Exhibit 10.2 to the Company’s Quarterly Report on Form 10-Q for the period ended June 30, 2021.
