Explanation of Responses:

1. Includes (i) 2,700 shares contained within units that the reporting person has irrevocably agreed to purchase at the closing of the Issuer's initial public offering (the "IPO") and (ii) up to 249,448 shares subject to forfeiture in the event the underwriters of the IPO do not exercise their over-allotment option in full.

2. Represents warrants included within units that the reporting person has irrevocably agreed to purchase at the closing of the Issuer's IPO.

3. Each warrant will become exercisable 30 days after the completion by the Issuer of an initial business combination.

4. Each warrant will expire five years after the completion by the Issuer of an initial business combination, or earlier upon redemption; provided that the warrants will expire earlier if the Issuer has not completed an initial business combination within the required time period and liquidates the trust account in connection therewith.
