1. These shares represent shares of common stock of Vince Holding Corp. (the "Company") purchased on the open market by the Reporting Person from December 15, 2025 through December 18, 2025.

2. These shares are owned by P180 Vince Acquisition Co. ("P180"). The Reporting Person is a member of the board of directors of P180 and shares voting and investment power with respect to shares owned by P180. The Reporting Person disclaims beneficial ownership of the common stock of the Company held by P180, except to the extent of any pecuniary interest held therein.
