Explanation of Responses:

1. These restricted stock units vest on various dates through March 8, 2027.

2. On March 27, 2017, the reporting person was granted stock options. 11,674 of these stock options have fully vested and are fully exercisable. 5,837 of these stock options were subject to performance-based vesting requirements. On May 21, 2024, after assessing a variety of factors, including alignment of holders' incentives with those of a majority of ADT 's stockholders, the compensation committee of the Board of Directors of ADT Inc. deemed the performance conditions satisfied with respect to these 5,837 stock options.

3. The reporting person was granted stock options on January 18, 2018. These stock options have fully vested and are fully exercisable.

4. The reporting person was granted stock options on August 13, 2018. These stock options have fully vested and are fully exercisable.
