Explanation of Responses:

1. Includes 150,000 Restricted Share Units which shall vest on the first anniversary of the grant date (November 3, 2025).

2. These Performance Share Units ("PSUs") will be earned based upon the Issuer's performance during the three-year performance period. Once earned, the performance based share units will vest on February 28, 2029.

3. Each PSU represents a contingent right to receive one Ordinary Share of the Issuer.
