(b) On March 21, 2024, Barbara V. Scherer informed the Board of Directors (the “Board”) of NETGEAR, Inc. (the “Company”) of her decision not to stand for re-election to the Board at the 2024 Annual Meeting of Stockholders (the “Annual Meeting”). Ms. Scherer will continue as a member of the Board until her current term expires at the Annual Meeting. Her decision not to stand for re-election was not due to any disagreement with the Company on any matter relating to the Company’s operations, policies or practices.
