(NASDAQ:NEOV) ("NeoVolta" or the "Company"), a U.S.-based energy technology company delivering scalable energy storage solutions, today announced the pricing of a public offering of 12,195,122 shares of its common stock. The shares of common stock are being sold to the public at an offering price of $2.05 per share. The gross proceeds to NeoVolta from the offering, before deducting the underwriting discounts and commissions and other offering expenses, are expected to be approximately $25.0 million. In addition, NeoVolta has granted the underwriter a 30-day option to purchase up to an additional 1,829,268 shares of its common stock at the public offering price per share, less underwriting discounts and commissions. The offering is expected to close on May 29, 2026, subject to the satisfaction of customary closing conditions.

Lake Street Capital Markets, LLC is acting as the sole book-running manager for the offering.
