Item 5.02			Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On January 19, 2023, David J. Daly provided NeoGenomics, Inc., a Nevada corporation (the “Company”), with notice of his resignation from the Board of Directors of the Company (the “Board”), effective immediately. Mr. Daly’s decision to resign did not result from any disagreement with the Company on any matter relating to the Company’s operations, policies or practices.
