Item 5.02 Departure of Directors or Principal Officers; Election of Directors; Appointment of Principal Officers

On March 23, 2026, John Symington informed the Company of his intention to resign from his position as General Counsel and Secretary of the Company to return to the private practice of law. Mr. Symington’s last day will be March 27, 2026, and Mr. Symington has agreed to continue to provide services to the Company as external counsel for a transitional period of at least one month.
