Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On August 11, 2022, Monica Bertagnolli notified the Board of Directors (the “Board”) of Natera, Inc. (“Natera” or the “Company”) of her intention to resign as a member of the Board and any committees of the Board, effective August 12, 2022, in connection with her appointment as Director of the National Cancer Institute. Ms. Bertagnolli’s resignation was not a result of any disagreement with the Company on any matter relating to its operations, policies or practices.
