Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On April 8, 2022, Todd Cozzens notified the Board of Directors (the “Board”) of Natera, Inc. (“Natera” or the “Company”) of his intention to resign as a member of the Board and any committees of the Board, effective May 25, 2022. Mr. Cozzens’ resignation was not a result of any disagreement with the Company on any matter relating to its operations, policies or practices.
