Explanation of Responses:

1. Consists of 166,667 shares of common stock purchased by Tellus BioVentures, LLC ("Tellus") from the Issuer in a private placement, which transaction is exempt from Section 16(b) in accordance with Rule 16b-3(d)(1) promulgated under the Securities Exchange Act of 1934, as amended (the "Exchange Act").

2. The securities reported are held of record by Tellus. The Reporting Person may be deemed to have voting and dispositive control over the shares held by Tellus. The Reporting Person disclaims beneficial ownership of these shares, except to the extent of his pecuniary interest therein.
