Explanation of Responses:

1. This transaction involved a gift of securities by The Cayre and Alexis Michas Foundation Corp. of an aggregate of 250 shares of common stock to a charitable organization. The reporting person disclaims beneficial ownership of these securities, except to the extent of his pecuniary interest therein, if any, and the filing of this report is not an admission that the reporting person is the beneficial owner of these securities for purposes of Section 16 or for any other purpose.

2. Securities held in a charitable foundation that was established for the sole purpose of making charitable contributions. The directors of the foundation are the reporting person, his spouse and their adult children. The reporting person disclaims beneficial ownership of these securities, except to the extent of his pecuniary interest therein, if any, and the filing of this report is not an admission that the reporting person is the beneficial owner of these securities for purposes of Section 16 or for any other purpose.

3. This transaction involved a gift of securities by The Cayre and Alexis Michas Foundation Corp. of an aggregate of 230 shares of common stock to charitable organizations. The reporting person disclaims beneficial ownership of these securities, except to the extent of his pecuniary interest therein, if any, and the filing of this report is not an admission that the reporting person is the beneficial owner of these securities for purposes of Section 16 or for any other purpose.
