Section 5 – Corporate Governance and Management

Item 5.02. Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On February 13, 2025, Mr. Thomas J. Winkel, a member of the Board of Directors of Marten Transport, Ltd. (the “Company”), notified the Company that he will not seek reelection as a director of the Company at the Company’s upcoming 2025 Annual Meeting of Stockholders for personal reasons. Mr. Winkel will continue to serve on the Board until the Annual Meeting. Mr. Winkel indicated that his decision not to stand for reelection is not the result of any disagreement with the Company on any matter relating to its operations, policies or practices.
