Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On August 13, 2026, Marqeta, Inc. (the "Company") reported that on August 10, 2026, Sarah Barkema, its Chief Accounting Officer and Senior Vice President of Finance and principal accounting officer, informed the Company of her decision to resign from these roles effective August 21, 2026.

The Company stated that Ms. Barkema’s departure is not the result of any disagreement with the Company related to its financial statements, internal control over financial reporting, operations, policies or practices. The Company intends to conduct a search for a new Chief Accounting Officer.

Patti Kangwankij, the Company’s Chief Financial Officer, who currently serves as the Company’s principal financial officer, will assume the role of principal accounting officer following Ms. Barkema's departure. Information regarding Ms. Kangwankij’s background and business experience is incorporated by reference herein from the Company’s definitive proxy statement filed on April 10, 2026, with the Securities and Exchange Commission. She has no transactions with the Company that are required to be described by Item 404(a) of Regulation S-K under the Securities Exchange Act of 1934, as amended, and the Company has not entered into or materially amended any material plan, contract or arrangement with her, or made any grant or award under any such plan, contract or arrangement to her, as a result of her becoming the Company’s principal accounting officer.
