Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers

Following a comprehensive search, on February 16, 2026, MarketAxess Holdings Inc. (the “Company”), identified a new Chief Technology Officer. Concurrently, the Company determined that Naineshkumar Panchal’s service as Chief Information Officer will end effective April 1, 2026. The Company expects to announce the identity of its new Chief Technology Officer in a press release later in the first quarter of 2026.

Mr. Panchal’s separation is considered a termination without “Cause” under his Severance Protection Agreement, dated March 1, 2022, and he will be entitled to receive certain severance payments and benefits in accordance with such agreement, subject to his execution of a general release of claims.
