Explanation of Responses:

1. 1,164 Performance Stock Units were granted on March 17, 2021, and vested on December 31, 2023 and converted into common stock on a two-for-one basis due to the achievement of certain performance factors. The Compensation Committee of the Medifast Board of Directors approved the performance factors on February 14, 2024 and the shares were released on February 14, 2024.
