Explanation of Responses:

1. Represents a grant of restricted stock units which vest in four equal installments on the first, second, third and fourth anniversary of the grant date of November 1, 2023.

2. The option will vest with respect to 25% on the first anniversary of the grant date, with the remaining shares vesting in equal monthly installments on the last day of each full month over the subsequent 36 months, subject to continuing service.
