Item 5.02. Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers

On October 21, 2024, William H. Lenehan notified Macy’s, Inc. (the “Company”) that he is resigning as a director of the Company effective October 25, 2024. Mr. Lenehan’s decision to resign from the Board of Directors was not due to any disagreement with the Company, the Board of Directors or management regarding any matter relating to the Company’s operations, policies, practices or otherwise. Following the resignation, the Board of Directors fixed the number of directors at 14.
