Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On April 28, 2025, Dan Shapiro notified LuxUrban Hotels Inc. (the “Company”) of his resignation from the Company’s Board of Directors (the “Board”), effective immediately. Mr. Shapiro informed the Company that his resignation was not due to any disagreement with the Company, its management, or the Board on any matter relating to the Company’s operations, policies, or practices.
