Item 8.01. Other Events.

On September 1^st, 2025, Loop Industries, Inc. (the “Company”) entered into a multi-year off-take agreement with certain affiliates of a leading sports apparel company. Under the agreement and subject to its terms, the Company will supply agreed minimum volumes of “Twist” its circular polyester resin made entirely from textile waste at an agreed upon price, once the Company’s planned Infinite Loop™ India facility becomes operational.
