Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On June 3, 2022, the Compensation Committee (the “Committee”) of the Board of Directors of Longeveron Inc. (the “Company”), granted equity retention awards to each of James Clavijo, Chief Financial Officer (CFO) and Paul Lehr, General Counsel.

Messrs. Clavijo and Lehr each received 40,000 restricted stock units (RSUs), which vest one-third on each of the date of grant, first anniversary and second anniversary, assuming continued employment. The Compensation Committee also granted Mr. Lehr a stock option award exercisable for 5,000 shares, which has a term of ten years, and vests 100% on the date of grant.
