Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On January 22, 2024, Thomas W. Wilkinson notified the board of directors (the “Board”) of LogicMark, Inc. (the “Company”) of his resignation from the Board, effective January 22, 2024. The resignation of Mr. Wilkinson as a director was not related to any disagreement with the Company on any matter relating to the Company’s operations, policies or practices. Mr. Wilkinson was also a member of the Board’s audit and compensation committees.
