Item 5.02.			Departure of Director or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On June 2, 2025, Jonathan M. Tisch informed Loews Corporation (the “Corporation”) that he will retire from his position as Executive Chairman of the Corporation’s subsidiary, Loews Hotels Holding Corporation (“Loews Hotels & Co”), effective December 31, 2025. Following his retirement, Mr. Tisch will be available to provide consulting services to Loews Hotels & Co for up to 200 hours per year at an hourly rate.
